By accessing or using cognicloud.net (the "Website"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use the Website.
These Terms constitute a legally binding agreement between you and CogniCloud Ltd ("CogniCloud", "we", "us", or "our"), a company incorporated in England and Wales with company number 16738942, whose registered address is 50 Princes Street, Ipswich, IP1 1RJ, United Kingdom.
2. Services
CogniCloud is developing a high-performance cloud infrastructure platform for artificial intelligence workloads, including GPU compute, serverless model inference, vector storage, and related services (the "Services"). At the time of writing, the Services are in active development and are not yet commercially available to the general public.
2.1 Pre-launch status
The Website currently serves as an informational presence and waitlist registration platform. Access to any beta or early-access programme is at CogniCloud's sole discretion. Joining the waitlist does not guarantee access to the Services.
2.2 No pricing commitment
Any metrics, specifications, or illustrative pricing shown on the Website are indicative only and do not constitute an offer. Commercial terms will be agreed individually with design partners and customers once the Services are available.
2.3 Service modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Services or the Website at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.
3. Access & Accounts
Access to the Website is currently unrestricted. When account functionality becomes available, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must notify us immediately at security@cognicloud.net if you suspect any unauthorised use of your account.
4. Acceptable Use
You agree not to use the Website or Services to:
- Violate any applicable law, regulation, or third-party right
- Transmit any material that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
- Attempt to gain unauthorised access to our systems, servers, or networks

- Conduct denial-of-service attacks or any form of automated abuse
- Scrape, harvest, or systematically extract data from the Website without our prior written consent
- Impersonate CogniCloud, our staff, or any other person or entity
- Use the Services to train, fine-tune, or improve a competing AI model or platform without our express written permission
- Circumvent any access controls, rate limits, or technical measures we put in place
We reserve the right to suspend or terminate access immediately for any actual or suspected violation of this section.
5. Intellectual Property
5.1 Our content
All content on the Website, including but not limited to text, graphics, logos, icons, source code, and the overall design, is owned by or licensed to CogniCloud and is protected by UK and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.
5.2 Your content
Where you submit content to us (for example, via a contact form), you grant CogniCloud a worldwide, non-exclusive, royalty-free licence to use that content solely for the purposes of responding to your enquiry and fulfilling our obligations to you. You retain ownership of any intellectual property rights in your submissions.
5.3 Feedback
If you provide us with feedback, suggestions, or ideas regarding the Services, you assign to us all rights in that feedback and agree that we may use it without restriction or compensation.
6. Disclaimer of Warranties

7. Limitation of Liability
To the maximum extent permitted by applicable law, CogniCloud, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption — arising from your use of or inability to use the Website or Services.
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable English law.
CogniCloud's total aggregate liability to you for all claims arising in connection with these Terms shall not exceed one hundred pounds sterling (£100).

You agree to indemnify and hold harmless CogniCloud and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Website, your violation of these Terms, or your violation of any third-party right.
